Terms of Service

Draft · pre-counsel review. These Terms are a working placeholder put in place for beta testing and OAuth consent-screen branding. They will be replaced with a counsel-reviewed version prior to public launch. Use of the Service during this period is at your own discretion.

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the AgentFoundry software platform, the agentfoundry.co website, and any related services (collectively, the “Service”). By creating an account, signing in, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You may use the Service only if you:

  • Are at least 18 years old and can form a binding contract;
  • Hold, or are authorized to act on behalf of someone who holds, a valid insurance producer license in every U.S. jurisdiction where you intend to solicit, quote, or discuss insurance or annuity products using the Service;
  • Are not barred by any applicable law, regulation, or disciplinary order from acting as an insurance producer or financial professional.

3. The Service

AgentFoundry is a productivity and workflow platform for licensed insurance professionals. It offers features including — but not limited to — a digital business card, a client relationship manager (CRM), a scheduling and booking surface, internal team communications, transcript capture and live-call summarization, a needs-analysis wizard, and AI-assisted policy-fit ranking tools. The Service does not sell, underwrite, issue, or guarantee any insurance or annuity product.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information when registering, to keep that information up to date, and to notify us immediately of any unauthorized access.

5. Acceptable Use

You agree not to:

  • Violate any applicable law or regulation;
  • Use the Service to send unsolicited communications in violation of the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, state do-not-call lists, or any similar law;
  • Impersonate any person or entity or misrepresent your license status, appointments, or authority;
  • Access or attempt to access data belonging to another agent, tenant, or client you are not authorized to view;
  • Reverse engineer, decompile, or attempt to derive the source code of any portion of the Service;
  • Use the Service to develop a competing product or service, or to train a machine-learning model using data you do not own.

6. Your Content

You retain ownership of the content you upload or create in the Service, including client records, notes, photos, videos, branding assets, and documents (“Your Content”). You grant AgentFoundry a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, modify for technical purposes (for example, to generate thumbnails, captions, or summaries), and transmit Your Content solely as necessary to operate and improve the Service for you. We do not sell Your Content, and we do not use Your Content to train general-purpose AI models.

7. AI-Generated Content

The Service uses third-party artificial-intelligence models to transcribe audio, summarize conversations, rank product fit, generate suggested follow-ups, and produce similar outputs (collectively, “AI Output”). AI Output is probabilistic and may contain errors, omissions, hallucinations, outdated product details, or misattributions. You agree that:

  • You will review every piece of AI Output before acting on it, sharing it with a client, or transmitting it to any third party;
  • AI Output is not a substitute for professional judgment and does not constitute a recommendation from AgentFoundry;
  • AgentFoundry is not liable for actions taken in reliance on AI Output.

8. Insurance, Financial, and Educational Disclaimer

AgentFoundry is a software tool, not a producer. Nothing surfaced in the Service — including, without limitation, product comparisons, illustrations, policy-fit rankings, needs-analysis outputs, AI-generated summaries, scripts, charts, calculators, or transcripts — constitutes legal, tax, accounting, investment, insurance, or other professional advice, and nothing in the Service should be interpreted as a personal recommendation, an opinion on suitability, or a solicitation of the sale of any specific product.

All material presented in the Service is for educational and organizational purposes only. Before making any decision about an insurance policy, annuity, rider, beneficiary designation, or other financial product, the end client must consult a licensed professional regulated in the applicable jurisdiction. Decisions made by any client, prospect, or consumer remain their own, and AgentFoundry makes no guarantee of issue, premium, rate, underwriting outcome, or product availability.

Licensed users of the Service are solely responsible for compliance with all applicable state and federal insurance regulations, including but not limited to: the Telephone Consumer Protection Act (TCPA); state Do-Not-Call and Do-Not-Text lists; the National Association of Insurance Commissioners (NAIC) Suitability in Annuity Transactions Model Regulation (Model 275) as adopted in each state, including the Best Interest standard of care; New York Regulation 187; the SEC's Regulation Best Interest (where applicable to dual-registered representatives); and all applicable state licensure, appointment, replacement, and disclosure rules.

AgentFoundry does not verify the accuracy of carrier product data, rates, commission grids, or rider terms reflected in the Service. Producers must independently verify every number with the carrier before quoting, illustrating, or binding any policy.

9. TCPA and Communication Compliance

Where the Service facilitates calls, SMS, email, or other communications to clients or prospects, you represent and warrant that you have obtained any prior express written consent required by the TCPA, any applicable state law, and any applicable carrier or platform terms of service, and that you will honor all opt-out requests promptly. AgentFoundry provides consent-tracking and audit-trail features as a convenience; the legal obligation to obtain and retain valid consent remains yours.

10. Subscriptions, Billing, and Free Access

Some features of the Service may be offered free of charge during a beta or promotional period, after which subscription fees may apply. Pricing, billing cadence, and cancellation terms for paid plans will be presented during checkout and incorporated into these Terms by reference.

11. Third-Party Services

The Service integrates with third-party providers (for example, authentication and database hosting via Supabase; edge delivery via Cloudflare; email delivery via Resend; AI models from Anthropic; voice transcription via Deepgram; calendar and sign-in via Google; SMS via Twilio). Your use of any third-party service through AgentFoundry is subject to that provider's own terms and privacy policy, which you acknowledge you are responsible for reviewing.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service with or without notice if we reasonably believe you have violated these Terms, created risk or legal exposure for AgentFoundry, or used the Service in a manner inconsistent with its intended purpose. Upon termination, the license granted to you under these Terms ends; the sections that by their nature should survive termination (for example, Sections 6–8, 13–16) will survive.

13. Disclaimer of Warranties

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, AgentFoundry disclaims all warranties, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or accuracy of results. AgentFoundry does not warrant that AI Output, product data, or any other information in the Service is complete, current, or error-free.

14. Limitation of Liability

To the fullest extent permitted by law, AgentFoundry and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, or data, arising out of or in connection with your use of the Service. AgentFoundry's aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid to AgentFoundry for the Service in the twelve months preceding the claim or (b) one hundred U.S. dollars (USD $100).

15. Indemnification

You agree to defend, indemnify, and hold harmless AgentFoundry and its officers, directors, employees, and agents from and against any claim, liability, damage, loss, or expense (including reasonable attorneys' fees) arising out of or in connection with: (a) Your Content; (b) your use of the Service in violation of these Terms or any law; (c) your failure to obtain required consents or licenses; or (d) your reliance on AI Output without independent verification.

16. Governing Law and Disputes

These Terms are governed by the laws of the [PLACEHOLDER: State where AgentFoundry is organized], without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively through binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in [PLACEHOLDER: arbitration venue], except that either party may seek injunctive relief in court to protect intellectual-property rights. You and AgentFoundry each waive the right to participate in a class action or representative proceeding.

17. Changes to These Terms

We may update these Terms from time to time. When we make a material change, we will update the “Last updated” date above and, where required by law or reasonably practicable, provide notice through the Service or by email. Your continued use of the Service after a change becomes effective constitutes your acceptance of the updated Terms.
